Terms of Service

1. About these terms

These terms govern your use of climsen.com and any services we provide. By accessing or using the service you agree to these terms. If you do not agree, do not use the service.

2. Who can use the service

You must be at least 18 years old and have authority to act on behalf of any organisation you represent. Some services (settling OTC trades, accessing transaction records) require additional verification.

3. The service

ClimSen provides:

  • A curated marketplace of voluntary carbon credit projects, scored using our proprietary Premium Score methodology (climsen.com/methodology).
  • Independent satellite-based monitoring of land-use projects.
  • Quote facilitation, transaction coordination, and CSRD-ready disclosure documentation for completed purchases.

ClimSen is not a registry, is not a broker holding inventory, and does not provide investment, tax, or legal advice. Voluntary carbon credits are currently unregulated commodities under UK law (not FSMA financial instruments). Our Premium Score is a quality signal, not a guarantee of climate outcome or financial return.

4. Quotes, transactions and pricing

Quotes are indicative until accepted in writing by both buyer and seller. Final pricing depends on volume, vintage, registry transfer costs and delivery terms. Buyers settling OTC trades through the platform must complete KYC verification.

5. KYC and AML

We may request information to verify your identity, your organisation, and the source of funds for transactions. Submitting false information may result in immediate termination and reporting to relevant authorities.

6. Your responsibilities

You agree to:

  • Provide accurate, current information.
  • Not use the service for any unlawful purpose, money laundering, tax evasion, or sanctioned-party transactions.
  • Not interfere with the service, attempt unauthorised access, or introduce malicious code.
  • Not scrape, copy, or republish our project data or Premium Score methodology without written permission.

7. Intellectual property

The Premium Score methodology, marketplace curation, satellite verification system, disclosure templates, and ClimSen brand are our intellectual property. We grant you a limited, non-exclusive licence to use the service for its intended purpose.

8. Fees

The marketplace is free to browse. Quote requests are free. Transaction fees, subscription pricing, and certification fees are disclosed at the point of relevant action. We do not charge hidden fees.

9. Disclaimers

The service is provided “as is” and “as available.” We do not warrant that the service will be uninterrupted, error-free, or meet your specific requirements. Carbon credit purchases involve risk including project reversal, registry actions, regulatory change, and quality reassessment. Our Premium Score and satellite verification reduce but do not eliminate these risks.

10. Limitation of liability

To the maximum extent permitted by law, our liability for any claim arising from your use of the service is limited to the greater of (a) the fees you have paid us in the 12 months preceding the claim, or (b) £100. We are not liable for indirect, consequential, or punitive damages, including loss of profit, business interruption, or reputational harm.

11. Indemnity

You indemnify us against third-party claims arising from your breach of these terms or your misuse of the service.

12. Termination

We may suspend or terminate your access if you breach these terms, fail KYC requirements, or use the service in a way that creates legal or reputational risk for us. You may stop using the service at any time. Sections 6–11 survive termination.

13. Changes

We may update these terms. Material changes will be notified by email to active users. Continued use after the effective date constitutes acceptance.

14. Governing law and jurisdiction

These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
